Problemizer Terms of Service

1. Parties and Definitions

These Terms of Service (“Terms”) are an agreement between you and Develemit LLC, doing business as Problemizer (“Problemizer,” “we,” “us,” or “our”), an Arizona limited liability company that runs Problemizer at problemizer.app.

  • “Service” means problemizer.app and its practice tools, worksheets, quizzes and games.
  • “Parent” or “Account Holder” means the adult parent or legal guardian who creates an account.
  • “Student” means a child profile a Parent creates. A Student is a profile, not an account, and never has a sign-in.
  • “Subscriber” means a Parent who pays for Problemizer Plus.
  • “You” means the person using the Service, and for an account, the Parent.

2. Acceptance

By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Cookie Policy. If you don’t agree, don’t use the Service. Children use the Service only under a Parent’s supervision; the Parent accepts these Terms for them.

3. Account Registration and Security

Only an adult (a parent or legal guardian, 18 or older) may create an account. An account is optional — the Service works without one. If you create one:

  • give accurate information and keep your email address current;
  • keep your password private; you are responsible for activity on your account and for the Student profiles you create;
  • tell us right away at legal@problemizer.app if you believe your account has been accessed without your permission.

We aren’t liable for loss caused by someone else using your account without your permission, except where the law says otherwise.

4. Subscription, Billing, and Refunds

Problemizer has a free plan, and the free plan stays free. Problemizer Plus is an optional paid plan for Parents: $1.99 per month, billed by Stripe. It renews automatically every month until you cancel.

  • Cancel anytime in Settings → Manage subscription. Your access continues to the end of the period you’ve paid for.
  • Refunds: we don’t give partial-month refunds. If something went wrong with a charge, email privacy@problemizer.app and we’ll sort it out.
  • Price changes: we’ll email you at least 30 days before a price change takes effect, so you can cancel first.
  • Deleting your account cancels the subscription.
  • Downgrading or cancelling never deletes your data or your Students’ progress.

5. Parent and Guardian Obligations

By creating a Student profile you confirm that you are the child’s parent or legal guardian and that you consent, for your child, to the collection described in the Privacy Policy. You agree to:

  • supervise your child’s use of the Service;
  • enter only a display name (a nickname or initial is fine) and a grade band for a Student, and never your child’s birthdate, school, email address or photo;
  • keep full names, addresses and other personal details out of free-text fields such as word lists and reading-log notes.

6. Acceptable Use

You may not:

  • use the Service for anything unlawful;
  • use the Service if you are on, or acting for someone on, a US government sanctions list, including the OFAC Specially Designated Nationals list;
  • reverse engineer, decompile or try to extract the Service’s source code, except where the law allows it;
  • upload or introduce malware or other harmful code;
  • resell, sublicense or commercially exploit the Service;
  • break, probe, scrape or overload the Service, or try to get into someone else’s account.

We may suspend access that harms the Service or other people.

7. Data Handling and Privacy

How we collect, use, keep and delete data — including children’s data under COPPA — is described in the Privacy Policy, which is part of these Terms. You can export or delete your data in Settings at any time.

8. Intellectual Property

Develemit LLC owns the Service, including its software, games, artwork and content. Your family keeps ownership of what you put in (word lists, reading-log entries) and of your progress data. We grant you a limited, personal, non-commercial, non-transferable, revocable license to use the Service under these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR AVAILABLE AT ANY PARTICULAR TIME, THAT IT WILL BE KEPT FOREVER, OR THAT ANY PARTICULAR RESULT IN SCHOOL WILL FOLLOW FROM USING IT.

10. Limitation of Liability

TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND FIFTY US DOLLARS ($50).

11. Indemnification

You agree to defend and indemnify Develemit LLC against claims, losses and costs (including reasonable attorneys’ fees) arising from your breach of these Terms or your misuse of the Service, to the extent the law allows.

12. Termination

You may stop using the Service, or delete a Student profile or your whole account from Settings, at any time; the deletion rules in the Privacy Policy apply. We may suspend or end an account immediately if these Terms are violated, and may end the Service or an account for other reasons — for example a long period of inactivity — with notice by email where we can. Export is available in Settings at any time; where feasible, after we end an account for a reason other than a violation, you will have 30 days to export your data before it is deleted.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules.

  • Talk to us first. Before filing any claim, email legal@problemizer.app and give us 30 days to try to resolve it informally.
  • Arbitration. If we can’t resolve it, the dispute will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Claims are brought only individually, not as part of a class.
  • Exceptions. Either party may bring a qualifying claim in small-claims court, or seek an injunction in court to stop infringement of intellectual property or misuse of the Service.

14. Changes to Terms

We may update these Terms. For a material change, we’ll email Parents at least 30 days before it takes effect and update the effective date. Continuing to use the Service after a change takes effect means you accept it.

Questions and legal notices: legal@problemizer.app. We send notices to the email address on your account; an email notice is deemed received 24 hours after we send it.

16. Severability and Entire Agreement

If any part of these Terms is found unenforceable, the rest stays in effect. These Terms, the Privacy Policy and the Cookie Policy are the entire agreement between you and us about the Service. Our not enforcing a provision is not a waiver of it.
